NOVOMATIC AG Group, Europe’s largest gaming technology group, has announced it will fully acquire Ainsworth Game Technology. 

The two have entered into a Scheme Implementation Deed, which will allow NOVOMATIC to acquire all of Ainsworth’s outstanding shares for a final cash consideration of $1 per share via a Scheme of Arrangement.

The Scheme of Arrangement will allow the gaming tech giant to become the sole owner of Ainsworth. NOVOMATIC already held a 52.9% stake, which it bought from Len Ainsworth, the firm’s founder, in 2016. 

Details of the Scheme of Arrangement

Ainsworth’s Independent Board Committee has unanimously advised the shareholders to vote in favor of the transaction. In addition to requiring shareholder approval, the transaction is also subject to customary closing conditions. It is scheduled to close in H2 2025. However, it is not conditional on due diligence or regulatory approvals.

NOVOMATIC AG Group’s Member of the Executive Board, Stefan Krenn, commented: “The acquisition of Ainsworth is consistent with our international growth strategy and the expansion of our presence across the Asia-Pacific and the US region.”.

How Ainsworth Acquisition Enhances NOVOMATIC

NOVOMATIC is among the biggest gaming technology groups in the world. It is a full-service provider in all segments of the gaming industry. The company has around 300 international subsidiaries, is active in more than 130 countries worldwide, and has 26,200 employees. It boasts a broad portfolio of clients, including DAZN Bet, which penned a double partnership with NOVOMATIC studios, Greentube, and Capecod last year.

Ainsworth is one of the leading manufacturers and suppliers of superior gaming solutions in the Americas and Australasia. It is listed on the Australian Securities Exchange (ASX) and is based in Newington, Sydney. However, the company operates worldwide, including in North and South America.

The company’s Chairman, Daniel Gladstone, outlined that the proposal represents a significant premium to long-term trading value and is compelling for minority shareholders. Ainsworth said this places a total enterprise value of $336.5 million on the business.

Aristocrat Technologies is taking Ainsworth Game Technology to court in Australia, alleging breach of intellectual property law regarding Aristocrat’s Lightning Link slot machine.

Aristocrat said in a statement: “This case goes well beyond simple copyright infringement and concerns allegations of extensive and deliberate misappropriation of trade secrets, confidential information and intellectual property.

“Upholding appropriate standards is part and parcel of ensuring ongoing trust in our business and industry, and is an important part of Aristocrat’s high compliance culture.”

In response, Ainsworth said it intended to “vigorously defend” the claims.

Aristocrat claims that an employee of Ainsworth joined Aristocrat as a game designer for less than a month before returning to Ainsworth in April, 2017, where he was employed as a senior game designer.

Aristocrat alleges that the individual accessed the Lightning Link game mathematics through an Excel spreadsheet, which he downloaded onto a USB, and took back to Ainsworth.

Aristocrat added: “[The company] will always aggressively defend our assets, including our IP. Upholding appropriate standards is part and parcel of ensuring ongoing trust in our business and industry and is an important part of Aristocrat’s high compliance culture. We won’t be commenting further while the case is on foot.”

The initial hearing in the lawsuit will take place on July 17.

Ainsworth Game Technology has cited a H2 uplift in driving a 38 per cent revenue increase for the year ending June 30, 2022, to A$220.2m (2021: A$159.5m).

This “solid performance” is largely aligned to a continued recovery in trading conditions across North America, as well as maintained improvement in Latin America as pandemic restrictions eased.

Profit before tax, excluding currency effects and one-off items, reached A$27.3m from a loss of $17.1m recorded one year earlier, with EBITDA up over threefold to close at $48.6m (2021: A$15.5m). Net profit swung from a A$53.4m loss one year ago to a profit of A$11.8m.

In what the Australia headquartered company said is a reflection of improving offshore trading conditions, revenue rose 50 per cent year-on-year and now accounts for more than 82 per cent of the total. Recurring revenue increased 28 per cent.

Through the aforementioned “solid” second half of the year, revenue and EBITDA tracked upticks to A$119.4m, up 19 per cent on H1’s $A100.7m, and A$27.9m, an increase of 35 per cent when contrasted to $10m through the first six months of the reporting period.

With group operating costs up 13 per cent YoY to $190.5m, AGT asserted that it is “actively working on measures” to mitigate inflationary cost pressures across its operational jurisdictions.

“I am pleased to report much improved earnings from Ainsworth this year,” commented Harald Neumann, AGT CEO. “AGT’s performance continued to improve through the year driven by re-openings and recovery in many of our major international markets.

“While our domestic performance does not yet reflect our potential, I am encouraged with the investments we have made to fundamentally upgrade and further improve game performance which we expect to deliver further improvement in our results. 

“This is key to our long term sustained success and I look forward to updating you as we make continued progress.” 

Through the year, AGT is said to have “benefited from solid growth” through H2 as trading conditions continued to recover across the Americas, where a strong product performance was witnessed.

Elsewhere, LatAm saw revenue up 185 per cent due to venue reopenings, with its domestic performance reported as improving despite lockdowns impacting New South Wales through July to October 2021.

Revenue in Queensland through H2 and FY rose 26 per cent and 36 per cent respectively, which offset reductions in regulatory changes introduced in Victoria and South Australia.

AGT’s rest of the world segment noted a “slight improvement” as revenue reached $14m, with online, which contributed 69 per cent of the segment’s total figure, offsetting a reduction in land-based sales in New Zealand where pandemic related lockdowns impacted activity levels.

Pariplay has teamed-up with Ainsworth Game Technology in a collaboration thatwill see the distribution of the latter’s online content in Latin America through the Fusion platform.

The commercial tie-up, which is said to form “an important part” of both company’s strategic growth plans in LatAm, includes all online releases in the region which will be made available through the Aspire Global aggregator and content provider’s aggregation platform.

Jason Lim, Ainsworth’s general manager of online, said: “Ainsworth is continuing our online growth strategy and this partnership with Pariplay will significantly strengthen our offering and further consolidate our position as a top-tier slot developer in Latin American markets.” 

The Fusion platform features thousands of games from a number of industry games developers, as well as a suite of back-office conversion and retention tools that are designed to enhance player value.

Revenue during the year’s second quarter increased 27.7 per cent to €55.8m (2020: €43.7m), buoyed by “good growth” across all segments. EBITDA increased 40.1 per cent to €9.9m (2020: €7.1m), driven by positive impacts from Pariplay and BtoBet.

Independent gaming company Leander has announced the addition of the operator Glitnor to its roster, which will see a number of Glitnor’s flagship products integrated across the Leander platform.

Ainsworth Game Technology has confirmed that Mike Dreitzer, president of AGT North America, has resigned from the company – a move that will take effect from February 16.
